REAX MEDIA INC – Internal Classification Memo

1. Purpose

This memo defines how REAX MEDIA INC internally classifies:

• The REAX.me™ application
  
  

• The VOKL™ utility token built on Solana
  
  

• The U.S. C-Corp and offshore LLC / DAO wrapper (VOKL DAO LLC)
  
  
  

The goal is to keep product, tokenomics, marketing, and fundraising aligned with a single, defensible interpretation:

VOKL is a utility credit for using features on REAX.me, not an investment contract or profit-sharing instrument.

2. Entities & components

2.1 REAX MEDIA INC (U.S. C-Corp)

• Owns the REAX.me app, brand, IP, and core software.
  
  

• Operates all web2-style infrastructure:
  
  

  • Servers, APIs, user accounts, front-end code, data pipelines.
    
    

• Sells products and services, including:
  
  

  • Creator and Studio Pro subscriptions
    
    

  • Boost and campaign tools for distribution
    
    

  • Analytics, data access, and API / infra services
    
    

  • Branded and sponsored programs, including integrations and activations.
    
    

REAX MEDIA INC’s business model is selling access, tools, and analytics around human-verified, integrity-scored content.

2.2 VOKL DAO LLC (offshore / DAO wrapper)

• Holds and manages a portion of VOKL treasury and other on-chain reserves.
  
  

• May coordinate community and ecosystem programs, such as:
  
  

  • Creator grants / incentives
    
    

  • Reviewer and governance rewards
    
    

  • Ecosystem partnerships and integrations
    
    

• May be used as the eventual wrapper for:
  
  

  • Certain on-chain governance choices
    
    

  • Community signaling around VIS, policy levers, and product direction.
    
    
    

VOKL DAO LLC does not promise profit or dividends to holders. It manages programmatic and community allocations, not “shares” of the business.

2.3 REAX.me™ product layer

• A human-verified social layer where “serious” posts pass Proof of Voice and are scored by the Voice Integrity Score (VIS).

  • Proof of Voice: device / liveness / voice checks; content credentials.

  • VIS (Voice Integrity Score): 6-part weighted score (Credibility, Originality, Delivery, Impact, CommunityEcho, PolicyFlag).

  • VIS bands + daily drip: each creator has a VIS-based daily allowance of VOKL they can earn as they post and pass policy.
    
    
    

3. Classification of VOKL (what it is)

Internal classification:

VOKL is a platform utility credit used to access and pay for features inside REAX.me and related REAX MEDIA INC products.

Concretely, VOKL is used to:

  • Future campaign formats and reach tools
    
    

• Access pro features
  
  

  • Creator Pro analytics
    
    

  • Studio / Team dashboards
    
    

  • Collaboration and advanced tooling

  • VOKL Prediction Markets (utility entry fees, not investment products)
    
    

  • Priority VIS reviews and policy appeals
    
    

  • Tipping as a social payment / appreciation mechanism
    
    

• Fund reviews and safety
  
  
  

  • A portion of VOKL spent on reviews and appeals is allocated to reviewer pools and safety operations, with a designed burn component.
    
    
    

VOKL can be:

  • Certain platform actions or promotions

VOKL lives on Solana rails as an SPL token to make these credits portable, programmable, and interoperable.

4. What VOKL is explicitly not

VOKL is not:

• Equity, stock, or ownership in REAX MEDIA INC or any affiliate.
  
  

• A promise of profits, dividends, or revenue share from REAX MEDIA INC.
  
  

• A deposit, savings product, or any form of guaranteed return.
  
  

• A “yield” or “income” instrument.
  
  

Internally, no one should describe VOKL as:

• An “investment,” “security,” “share,” or “equity-like” position.
  
  

• A source of “passive income,” “yield,” “APY,” or “ROI.”
  
  

• Something that REAX MEDIA INC will “defend the price” of or “buy back” as a policy.
  
  
  

External markets may trade VOKL, and the price may fluctuate, but:

• Those markets are third-party venues not operated by REAX MEDIA INC.
  
  

• REAX MEDIA INC does not guarantee or promote any specific price or return.
  
  
  

5. Roles & responsibilities by entity

REAX MEDIA INC (C-Corp)

• Builds and operates REAX.me and related products.
  
  

• Sells fiat-denominated products and services, including:
  
  

  • Subscriptions, campaigns, analytics, API access, sponsorships
    
    

• Integrates USDC on-ramps and other payment methods to:
  
  
  

  • Let users buy VOKL as credits for in-app use.

  • Let brands and partners pay for campaigns and tools.
    
    

• Complies with applicable consumer protection, payments, and data rules.
  
  

• Does not market VOKL as a security or investment product.
  
  
  

VOKL DAO LLC (offshore / DAO)

• Holds and manages on-chain treasury allocations designated for:
  
  

  • Community programs
    
    

  • Reviewer pools
    
    

  • Grants and ecosystem incentives
    
    

• May coordinate on-chain governance in the future, limited to:
  
  

  • Parameter tuning (e.g., VIS weights within bounds, reward multipliers, grants criteria)
    
    

  • Ecosystem program decisions (partnership grants, liquidity on certain venues, etc.)
    
    
    

VOKL DAO LLC does not:

• Promise profit or distributions to VOKL holders based on the efforts of REAX MEDIA INC.
  
  

• Control day-to-day operations of REAX MEDIA INC or its revenue.
  
  
  

6. Regulatory posture (high level)

• REAX MEDIA INC treats VOKL as a utility token / credit, not as an investment product.
  
  

• The company acknowledges the existence of third-party markets for VOKL but does not:
  
  

  • Operate a regulated exchange,
    
    

  • Guarantee market liquidity or price, or
    
    

  • Market VOKL as a speculative instrument.
    
    

• USDC is accepted in-app to:
  
  

  • Buy access, campaigns, and subscriptions,
    
    

  • Optionally convert into VOKL credits for platform utilities.
    
    

• Detailed securities, commodities, and payments analysis (U.S. and offshore) is to be handled with external counsel and may evolve as regulations (e.g., U.S. digital asset market structure and clarity acts) are formalized.
  
  
  

7. Use of this memo

• Product, tokenomics, marketing, and partnerships must align with this classification.
  
  

• Any new feature or campaign that involves VOKL must be checked against:

  • External legal advice where needed.
    
    
    

If a proposed feature would make VOKL behave like an investment or yield product, it should be escalated and re-designed before implementation or communication.
